These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, and services (together, the "Services") provided by Vida Go Local, LLC ("VidaGo," "we," "us," or "our"), a Florida limited liability company based in Port Charlotte, Florida. By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

1. About VidaGo

VidaGo is a local discovery platform that helps people find, save, and enjoy local businesses, offers, events, and experiences in their community. The VidaGo app and website are free for individual users. Local businesses may purchase a paid vendor membership to be listed and to promote offers.

2. Eligibility & accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to create a vendor account or make a purchase. You are responsible for keeping your account credentials secure and for all activity under your account. You agree to provide accurate, current information.

3. The app & website are free for users

Downloading, browsing, and using VidaGo as an individual consumer is free. We do not charge users to discover businesses, view offers, or save favorites.

4. Offers & deals

Offers, deals, discounts, and events shown in the Services are provided by independent third-party businesses ("Vendors"). VidaGo is a platform that displays these offers; we do not sell the underlying goods or services and are not a party to any transaction between you and a Vendor.

• Each offer is subject to the terms, availability, expiration dates, and conditions set by the Vendor.
• Vendors are solely responsible for honoring their offers and for the quality of their goods and services.
• VidaGo is not responsible for a Vendor's refusal to honor an offer, changes to an offer, or disputes between you and a Vendor.

5. Vendor memberships

Businesses may purchase a vendor membership to list their business and promote offers. Current membership terms:

• Membership is billed monthly on a recurring, month-to-month basis at the rate presented at sign-up.
• There is no long-term contract; you may cancel at any time, effective at the end of the current billing period.
• Fees are non-refundable except where required by law.
• We may change membership pricing or features on a going-forward basis with reasonable notice. Any founder or promotional rate remains in effect only while the membership stays continuously active, as described at sign-up.

Payments are processed by third-party payment providers. By purchasing a membership, you authorize us and our payment processor to charge your payment method on a recurring basis until you cancel.

6. Acceptable use

You agree not to misuse the Services, including by: violating any law; posting false, misleading, infringing, or harmful content; attempting to gain unauthorized access to our systems; scraping or harvesting data; or interfering with the operation of the Services.

7. Text messaging (SMS)

If you provide your mobile number and opt in, you consent to receive text messages from VidaGo. The following applies:

• You may receive account/transactional messages and, if you separately consent, marketing and promotional messages from Vida Go Local, LLC.
• Message frequency varies. Message and data rates may apply.
• Consent to receive marketing text messages is not a condition of any purchase.
• Reply STOP to cancel at any time, or HELP for help.
• Carriers are not liable for delayed or undelivered messages.

8. Intellectual property

The Services, including the VidaGo name, logo, and content we create, are owned by Vida Go Local, LLC and protected by law. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not copy, modify, or distribute our content without permission.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any offer or Vendor information is accurate or available.

10. Limitation of liability

To the fullest extent permitted by law, Vida Go Local, LLC and its members, managers, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss arising from your use of the Services or from any transaction with a Vendor. Our total liability for any claim relating to the Services will not exceed the amount you paid us, if any, in the twelve months before the claim.

11. Indemnification

You agree to indemnify and hold harmless Vida Go Local, LLC from any claims, damages, or expenses arising out of your use of the Services or your violation of these Terms.

12. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Charlotte County, Florida.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the effective date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
